SOLAR*MAGIC™ International Incorporated Executive Summary

SOLAR*MAGIC™ International Inc. is a New Hampshire corporation, of which Egon AliOglu is CEO and founder. There are several additional investors/founders, some of whom are officers and/or directors.

The company is a privately funded enterprise. Management has filed Reg. 1-A Initial Public Offering (IPO) with the SEC. The filing is currently under review, with final results expected soon. This approach to funding solar projects will enable the company to raise the necessary funds to build in the New England area several Solar*Farms based on our auto-tracking solar systems; to upgrade our existing website to enable global sales and distribution of our products and services; to create an educational film to market our novel approach to alternative energy systems; and to expand our company’s operational facility. The Solar*Farms will sell, under contract, green electric energy and clean carbon credits to local utility companies. Through this model, the company will build a substantial asset base, secure long-term revenues via contracts with utility companies and benefit from a number of tax and rebate advantages.

Our principal business is the innovation, engineering and selling of electronically automated solar photovoltaic systems for a variety of applications. Our auto-tracking solar arrays are totally automated to face East in the morning and track faithfully and harmlessly the sun throughout the day. These sustems are nearly maintenance free, create no pollution of any kind, and produce more KW hours per day, at much lower cost, than any stationary type. These solar auto-tracking systems may be utilized en mass as Solar*Farms, and are also available individually as complete equipment packages which can be shipped anywhere in the world. Our unique and proprietary position is to sell pre-engineered complete solar PV systems to global customers. That effort positions us to develop specially focused market strata in the field of alternative energy technologies. This informational package, together with the film, will be the basis of our global marketing strategy for contracting solar systems projects.

Egon AliOglu has been in the solar photovoltaic technology business for over 35 years and is considered one of the national experts in the field. His book, I Sold the Sun To The Saudis, is available online and in hard copies at Borders and local book shops. He is a strong advocate of environmental issues and solutions. He is the founder and principal with ENVIRODESIGN Architects & Planners and has lectured and taught at Harvard, MIT, Carleton and Nova Scotia Universities in Canada and King Faisal University in Saudi Arabia.

The Company has also developed a unique, high-tech, artistic sculpture, the solar Sun*Flower, that performs like our standard auto-tracking solar array system but has several other very attractive features that make it an excellent, marketable project for fundraising efforts while also helping middle and high school students learn more about the environment and alternative energy solutions. This unique product, together with the educational film, is a central piece of our marketing and promotional strategy.

We strongly believe, based on our many years of actual experience in the U.S. and abroad, that unless a customer fully understands the beneficial aspects of a solar photovoltaic energy system, marketing of solar systems can be very unpredictable. Photovoltaic technology is reasonably simple to grasp, but all of the peripheral issues that are part of an overall system require detailed examination. As part of our sales effort, we provide customers with a free analysis of their specific power use requirement and an analysis of how the application of our solar system equipment can provide them with green, pollution-free and predictable electric energy. This is where all factors come together and the end-result is the total cost of a system.

The global market for our auto-tracking solar systems is enormous. In the next few years we are focused on building several Solar Farms in the New England area, fortifying our operation with equipment and personnel to serve global markets, establishing foreign distribution and demonstration joint ventures and creating a strong  national and international presence on the Internet. Timing for our business could not be any better. The U.S. government is strongly supporting alternative energy activities; solar cell and module manufacturers are producing and selling high-quality components at ever-decreasing prices; carbon based fuels are depleting at a faster rate then ever anticipated; and the cost of the fuels and infrastructure current;ly used to create electric power is fast becoming totally unmanageable.

In conclusion, we aim to develop our company, SOLAR*MAGIC™ International, to serve alternative energy customers in a manner similar to that in which Dell Computer Company serves computer shoppers, providing global customers with a match of equipment and services to meet their specific needs at a very competitive price. Efficiencies on every level are the answers to such success. We have a very clean, predictable and most beneficial technology that we have engineered to function at the highest efficiency for the lowest possible cost. SOLAR*MAGIC™ International Incorporated, based in Antrim, New Hampshire, is a new and unique company specializing in electronically auto-tracking solar photovoltaic (PV) systems that produce several times more KW hours per day, at lower cost, then the normal fixed PV panels on roofs and or the ground. The company was founded in 2008 by Egon AliOglu, PhD, President and Chairman who has over 35 years of background in the solar industry with a strong specialty in photovoltaic technology. Read his latest book, I Sold The Sun To The Saudis, and enjoy some of the photography that he brought back from that mysterious desert kingdom. Egon founded a solar company for some of the Saudi investors and built twenty different solar PV projects in Saudi Arabia. 

SOLAR*MAGIC™ International has built several of their advanced technology solar system stations in New Hampshire. Such solar stations have a data reporting system built in which registers all PV systems performance data via high-speed Internet service, updating every 30 minutes. This data management system also records accumulative data of green carbon credits that are sold to utility companies together with the green solar power generated by our auto-tracking solar systems. 

SOLAR*MAGIC™ International has recently filed with the Security and Exchange Commission their application for a Regulation 1-A Initial Public Offering (IPO) listing. When approved by SEC, and we expect it to be very soon, the company will register four million ( 4,000,000 ) common shares. There is no underwriter involved and the company will market and sell these registered shares on the Internet via the electronic over the counter bill boards (OTCBB).  

The major portion of the new capital will be used for building and owning solar farm type projects in the New England area. These solar farms will be based on the company’s most advanced electronically auto-tracking PV solar systems. The green power from such solar farms will be sold to local utility companies under long term contracts. Accounting for all tax, rebates, asset value and secured stream of revenue, these projects will be very profitable. In addition to these projects, the company markets engineered pre-packaged equipment sets for homes and other commercial uses anywhere in the world . The market for our type of auto-tracking PV solar systems is wide open and is quite substantial. 

At present time the company needs private placement investments to implement all related activities with SEC and OTCBB. These private placement investors will hold promissory notes with conversion rights. Such agreements and notes will create a very favorable position for these private investors.
